Board Of Directors Requirements
Job Description
Willingness and ability to:
- Attend monthly and other scheduled Board of Directors meetings
- Serve as an active member of at least two committees
- Support and participate in the annual campaign
- Prepare in advance for board and committee discussions and decision-making
- Participate in annual and strategic planning
- Listen to, learn about and communicate with the community
- Reside or work in Woodland
Terms of Office
Directors will serve a three-year term. Directors who have served two (2) successive three-year terms shall be eligible for election to the Board after one (1) year has expired from the termination of the second successive term.
Board Meetings
Meetings shall be held at the Woodland United Way office unless otherwise determined by the board and are held the third Thursday of each month. Removal from membership on the Board of Directors may occur after three (3) consecutive absences from meetings of the Board of Directors. Each director participating in the meeting can communicate with all of the other directors concurrently. Each director is provided the means of participating in all matter prior to the board meeting. All needed materials are sent to the members prior to the Board of Directors meeting.
Committees
Campaign Committee
This committee shall identify new funding sources, cultivate new donors and increase giving among existing donors.
Responsibilities:
- Culitvate corporate gifts by building relationships with new and existing corporate donors through warm contacts
- Increase direct mail campaign review and revise direct mail list
- Strategize and develop plans to increase giving potential in all sectors
- Develop and implement a strategy to increase the number of major givers, as well as retain and increase the levels of giving among existing major givers
- Develop and implement a donor recognition program
Events Committee
This committee is responsible for planning and implementing the Day of Caring, the Campaign Kickoff, the Annual Awards Dinner Celebration, the Agency Fair and the Annual LIVE UNITED Golf Classic.
Responsibilities:
- Design and implement each event
- Choose the timing of each event
- Recruit participants as needed
- Design and implement a Marketing/PR plan for each event
- Design and implement an appreciation activity for the volunteers involved after each event
- Evaluate each event and process, and strategize for future events
Finance & Audit Committee
This committee provides the expertise to assure that the Woodland United Way is on sound financial footing by overseeing development of the budget, ensuring accurate tracking, monitoring and accountability for funds, and ensuring adequate financial controls are in place.
Responsibilities:
- Advise the Executive Director and Board of Directors on financial matters and information systems
- Provide education opportunities (i.e. financial reporting to the Board of Directors)
- Anticipate problems and opportunities that might occur and propose resolutions and actions to minimize risk to the organization and maximize positive outcomes.
- Review budgets prepared by staff for consistency between the budget and the organization's plans
- Report to the Board of Directors any financial irregularities, concerns, or opportunities
- Recommend financial guidelines to the Board of Directors
- Ensure that an annual audit of the organization is conducted
- Work with staff to design financial reports and ensure that reports are accurate and timely
- Oversee short and long-term investments
- Review financial and investment policies yearly and revise if needed
- Review processing fee for campaign designations to other United Ways and non-profit agencies annually and adjust as needed
Human Resource Committee
This committee provides Human Resource needs to the Executive Director and staff.
Responsibilities:
- Reviews personnel policies annually and offers recommendations for improvement as needed
- Performs the Executive Director's Evaluation (prior to the fiscal year end)
- Review Employee Handbook yearly and revise as needed
- Manage significant Human Resource issues between Board of Directors meetings
- Any other situation as charged by the Board of Directors
Marketing Committee
This committee is responsible for marketing the Woodland United Way in a positive and consistent manner within our community. The committee ensures that all Woodland United Way material are United Way branded.
Responsibilities:
- Develop a fully targeted year-round communications/marketing plan
- Actively pursue marketing opportunities such as newspaper, billboards, Facebook, paid ads, street banners, television, radio, campaign video and website
- Develop campaign material in partnership with Campaign Chair and Executive Director
Membership Committee (only members of the Board of Directors may participate on this committee)
This committee is responsible for the make-up of the Board of Directors. The committee shall assure that the Board of Directors represents the diversity of the community served, includes members with expertise and experience needed on a volunteer Board of Directors, and receives appropriate training and development.
Responsibilities:
- Nominate new members for the Board of Directors
- Nominate officers for the Board of Directors
- Confirm eligible members of the Board of Directors for re-election
- Develop and implement new Board Member orientation
- Explore in-service/education opportunities for members of the Board of Directors and staff
- Conduct and analyze annual Board of Directors self-assessment
